GENERAL TERMS AND CONDITIONS OF SALE

Sales Policy

Possession of this catalog does not constitute an offer to sell. All prices are subject to change without notice. Orders will be shipped and billed at the prevailing price at the time of shipment. We reserve the right to adjust orders to standard package quantities unless otherwise stated on PO.

Freights and Shipping

Orders exceeding $1500.00 net will be shipped prepaid to destinations within the continental United States.

Orders

Minimum order is $300.00 net. All orders less than the required minimum are subject to 10% special shipping and handling surcharge. Any factory direct, special order and blanket orders must be 100% fulfilled. These orders require a lead‐time of 60 to 90 days in advance of delivery.

Terms of Payment

1% 10, net 30 days, or otherwise stated. Any amount past due is subject to a finance charge of 1.5% per month (18% annually) on the past due balance. All returned checks will be subject to a $30 fee each time of occurrence‐no exceptions.

Claims

No claims for shortage or damage will be allowed unless reported by consignee within (5) days of receipt of goods. ROC and its affiliates will not be held responsible for any claims of injury during installation or distribution of our products.

Return Policy

We do not accept returned merchandise without prior written approval from our office. Usually, within 24 hours we will fax over the RGA form, which must be shipped back with the returned item(s). Credits will only be issued, once the product is received and inspected. We will not accept returns on any merchandise over one year from the date of sale. Materials (excluding defectives) must be in sellable condition and in its original packaging. And, all returns for reasons other than product defective will be subject to a 30% restocking charge. Defectives due to neglect will incur labor fees, and any additional/findings’ testing are available at customer’s expense.

Any factory direct, special order and/or blanket orders are subject to vendor‐imposed restocking fees (often 25% or higher), plus the cost of freight from and back to the vendor. (Exclude defectives)

Any custom product (such as special packaging, branding, or exclusivity requested) are not returnable. (Excludes defectives)

Limited Warranty

All products manufactured by Seller are warranted to be free from defects in material and workmanship under normal use and service, when installed, used and serviced in the manner intended. THIS EXPRESS WARRANTY IS IN LIEU OF AND EXCLUDES ALL OTHER WARRANTIES, WHETHER EXPRESSED, IMPLIED OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

Limitation of Remedies

Buyer’s sole and exclusive remedy against Seller will be limited, at Seller’s option, to the repair or replacement by Seller of any nonconforming product for which claim is made by Buyer or to the issuance of a credit for such nonconforming product in accordance with these terms and conditions provided Buyer obtains a return material authorization from Seller and Seller is given a reasonable opportunity to inspect the product and confirm such nonconformity. This exclusive remedy shall not be deemed to have failed of its essential purpose so long as Seller is willing and able to repair or replace the nonconforming product and, in any event, Seller’s liability for any damages due Buyer shall be limited to the purchase price of the nonconforming products. THIS PARAGRAPH DETAILS BUYER’S SOLE AND EXCLUSIVE REMEDY FOR BREACH OF WARRANTY.

Limitations on Actions and Liability

The statute of limitations applicable to all claims arising under this agreement shall be one year from the date the claim accrues. SELLER WILL NOT BE LIABLE FOR ANY LOSS, DAMAGE OR INJURY RESULTING FROM DELAY IN DELIVERY OF THE PRODUCTS OR FOR ANY FAILURE TO PERFORM WHICH IS DUE TO CIRCUMSTANCES BEYOND ITS CONTROL. THE MAXIMUM LIABILITY, IF ANY, OF SELLER FOR ALL DAMAGES, INCLUDING WITHOUT LIMITATION CONTRACT DAMAGES AND DAMAGES FOR INJURIES TO PERSONS OR PROPERTY, WHETHER ARISING FROM SELLER’S BREACH OF THIS AGREEMENT, BREACH OF WARRANTY, NEGLIGENCE, STRICT LIABILITY OR OTHER TORT WITH RESPECT TO THE PRODUCTS, OR ANY SERVICES IN CONNECTION WITH THE PRODUCTS, IS LIMITED TO AN AMOUNT NOT TO EXCEED THE PRICE OF THE PRODUCTS. IN NO EVENT SHALL SELLER BE LIABLE TO BUYER FOR ANY INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, INCLUDING WITHOUT LIMITATION, LOST REVENUES AND PROFITS, EVEN IF IT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE RIGHT TO RECOVER DAMAGES WITHIN THE LIMITATIONS SPECIFIED IS BUYER’S EXCLUSIVE ALTERNATIVE REMEDY IN THE EVENT THAT ANY OTHER CONTRACTUAL REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

Backorders

We notify all customers of backorders arriving within 30 days. Except for factory direct, special orders and blanket orders all backorders taking longer than 30 days will be cancelled unless special arrangements were made at time of order.

Customers

Customers assume full liability for all taxes or other charges assessed or imposed by any government agency. All customers are required to furnish ROC with their tax exemption number, or applicable sales tax will be charged. All customers must have a current, completed, and signed credit application on file.

Prices are subject to change without notice. All orders will be shipped and invoiced at the prevailing price at time of shipment. For factory direct, special order and blanket orders, a separate quote will be provided.
